Terms of Use

1. Purpose

The purpose of these Terms of Use (hereinafter the "Terms") is to define the terms and conditions of access to and use of the Agensio platform, published by AGENSIO AI, accessible at agensio.ai (hereinafter the "Platform").

Access to and use of the Platform imply the unreserved acceptance of these Terms by the user (hereinafter the "User"). In the event of disagreement with all or part of the Terms, the User is invited not to use the Platform.

Strictly B2B service. The Agensio Platform is a professional service intended exclusively for legal entities (companies, associations, public bodies) and registered professionals (sole traders, micro-entrepreneurs, members of the liberal professions) acting in the course of their professional activity. Subscription requires the provision of a valid SIRET number (or an equivalent intra-EU VAT number for entities outside France), verified against the official INSEE register. The Platform is not intended for consumers within the meaning of the French Consumer Code, nor for personal or household use. The provisions of the Consumer Code relating to distance contracts concluded between professionals and consumers therefore do not apply.

2. Definitions

• Platform: the agensio.ai website and all services accessible from it.
• User: any natural or legal person who accesses the Platform and/or uses the Services.
• Services: all the features offered on the Platform, in particular the provision of AI agents (marketing, leads, accounting, reputation monitoring, debt collection, etc.).
• Account: the User's personal area created upon registration on the Platform.
• AI Agent: an automated artificial intelligence program configured to perform specific tasks for the benefit of the User.

3. Access to the Platform

The Platform is accessible free of charge to any User with internet access. Access to certain Services requires the creation of an Account and a paid subscription.

AGENSIO AI reserves the right to suspend or limit access to all or part of the Platform for maintenance, updates or any other reason, without notice or compensation.

4. Registration and Account

4.1 Account creation

To access the Services, the User must create an Account by providing accurate, complete and up-to-date information. The User undertakes to update this information in the event of any change.

4.2 Account security

The User is responsible for the confidentiality of their login credentials and for any activity carried out from their Account. In the event of unauthorised use, the User undertakes to inform AGENSIO AI immediately at contact@agensio.fr.

4.3 Legal capacity and professional status

The User declares that it is a duly represented legal entity, or a natural person of legal age and legally capable, acting in a professional capacity in the course of a registered activity (SIRET or equivalent). Use of the Platform by minors, by consumers within the meaning of the French Consumer Code, or for personal or household use is prohibited. AGENSIO AI reserves the right to suspend or close any Account that does not comply with this condition.

5. Description of the Services

The Agensio Platform offers automated AI agents for businesses. These agents perform tasks in the following areas (non-exhaustive list):

• Marketing: content generation, social media publishing, editorial planning.
• Leads: automated prospecting, contact qualification, data enrichment.
• Accounting: invoicing follow-up, reminders, expense categorisation.
• Reputation monitoring: sector monitoring, competitive analysis, custom alerts.
• Debt collection: reminders for unpaid invoices, payment tracking.

The results produced by the AI agents are provided for guidance only. The User remains solely responsible for verifying, validating and using the results generated.

6. User obligations

The User undertakes to:

• use the Platform in accordance with its intended purpose and these Terms;
• not use the Platform for unlawful or fraudulent purposes or in a way that infringes the rights of third parties;
• not attempt to disrupt, alter or compromise the operation of the Platform;
• not extract, collect or store Platform data by unauthorised automated means;
• comply with applicable legislation, in particular regarding the protection of personal data, commercial prospecting and intellectual property;
• not use the AI agents to send unsolicited communications (spam);
• hold all necessary authorisations for the data it transmits to the Platform.

7. User's responsibility for data

The User is solely responsible for the data it provides to the AI agents. Within the framework of the GDPR, where the User provides third-party personal data to the AI agents, the User acts as data controller and AGENSIO AI as data processor within the meaning of Article 28 of the GDPR.

The User warrants that it has the necessary legal bases to transmit such data and that it has informed the data subjects in accordance with Articles 13 and 14 of the GDPR.

8. Intellectual property

The Platform, its content (texts, graphics, images, software, etc.), its structure and the technologies used are the exclusive property of AGENSIO AI and are protected by intellectual property law.

The User has a personal, non-exclusive and non-transferable right to use the content generated by the AI agents within the framework of their subscription.

9. Limitation of liability

AGENSIO AI implements all reasonable means to ensure the proper functioning of the Platform. However, AGENSIO AI cannot be held liable for:

• the results produced by the AI agents, which are provided for information only and without warranty of accuracy;
• the decisions taken by the User on the basis of the AI agents' results;
• indirect damages, including loss of data, loss of revenue, loss of profit, loss of clientele;
• the temporary unavailability of the Platform;
• damages resulting from non-compliant use of the Platform by the User.

In any event, AGENSIO AI's liability is limited to the amount of the sums actually paid by the User over the twelve (12) months preceding the triggering event.

10. Suspension and termination

AGENSIO AI reserves the right to suspend or terminate the Account of any User in the event of:

• breach of these Terms;
• fraudulent or abusive use of the Platform;
• non-payment of amounts due;
• conduct harmful to the interests of AGENSIO AI or third parties.

Suspension or termination takes effect automatically after a formal notice has remained without effect for eight (8) days, except in cases of emergency or serious breach justifying immediate suspension.

11. Amendment of the Terms

AGENSIO AI reserves the right to amend these Terms at any time. Amendments take effect on the date of their publication on the Platform. The User will be informed by email of any substantial changes. Continued use of the Platform after amendment constitutes acceptance of the new Terms.

12. Governing law and competent courts

These Terms are governed by French law. Any dispute relating to their interpretation or performance shall be submitted, after an attempt at amicable resolution, to the exclusive jurisdiction of the courts of Nantes.
